Ltd. (“DSC”), a Russian distributor with retail sales and crane rental fleets headquartered in Moscow, to distribute its 50- and 30-ton Manitex boom trucks beginning in July 2008.

(AMEX: VCC) (“Veri-Tek” or the “Company”) announced today that it has entered into a Securities Purchase Agreement with certain institutional investors pursuant to which the Company agreed to issue 1.5 million shares of common stock at $6.00 per share, resulting in $9.0 million in gross proceeds to the Company. The proceeds from the sale will be used to reduce a portion of the Company’s debt.
